These Terms of Service ("Terms") govern the use of the Shopify app FINDuly ("the App") and the free AI Readiness Check at app.finduly.com/check, provided by NF Cosmetics GmbH, Tannenweg 36, 85399 Hallbergmoos, Germany, registered with the Amtsgericht München under HRB 285018 ("we", "us").
The App is offered exclusively to merchants who operate a Shopify store in the exercise of their trade, business or profession. It is not intended for consumers. By installing the App, you agree to these Terms. In addition, Shopify's own terms apply to your Shopify store and to billing through Shopify.
The free AI Readiness Check may be used by anyone without registration. Sections 5, 8, 9, 10 and 11 apply only to merchants using the App. For use of the AI Readiness Check, Section 7 applies accordingly, and mandatory consumer protection rights remain unaffected. We provide the AI Readiness Check free of charge and without any guarantee of availability or accuracy of the results.
The App generates AI overview pages (such as /pages/ai, /pages/llm and /pages/ai-llm-policy), structured data and an llms.txt template from your store's content, and checks how readable your store is for AI systems. Content is generated with the help of a third-party AI model (Anthropic Claude). The scope of features and limits per plan are described in the App and on the Shopify App Store listing.
We continuously develop the App and may change, add or remove features, provided that the core functionality of your paid plan is preserved.
The App improves how readable your store is for AI systems and search engines. Whether and how AI assistants (such as ChatGPT, Claude, Gemini or Perplexity) or search engines crawl, mention, recommend or rank your store is decided solely by their operators. We do not guarantee any particular visibility, traffic, ranking or revenue.
Paid plans (Basic, Pro, Unlimited) are billed monthly or yearly through Shopify's billing system in the currency and at the price shown when you subscribe; prices are exclusive of VAT unless stated otherwise. Each plan includes a number of AI generations per billing cycle as described in the App; unused generations do not carry over, and once the limit is reached further generations are unavailable until the next billing cycle or until you upgrade.
Subscriptions renew automatically for each billing cycle until cancelled. You can cancel at any time by changing your plan or uninstalling the App. Fees already charged for the current billing cycle are not refunded, unless we are responsible for a material and lasting failure of the App or a refund is required by law; any refund is made by us through Shopify. Your statutory rights remain unaffected.
We aim for high availability but cannot guarantee uninterrupted operation. Maintenance, failures of Shopify, of the AI provider or of other third parties may temporarily limit the App.
We are liable without limitation for damages caused intentionally or through gross negligence, for injury to life, body or health, where we have fraudulently concealed a defect or have given a guarantee, under the German Product Liability Act, and for claims under Art. 82 GDPR where mandatory.
For slight negligence, we are liable only for the breach of an essential contractual obligation (an obligation whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely), and only up to the damage that is typical and foreseeable for this type of contract. Liability for loss of data is limited to the typical recovery effort that would have arisen had you made regular backups. Any further liability is excluded. Mandatory statutory liability remains unaffected. These limitations also apply to the personal liability of our employees and agents.
The agreement runs as long as the App is installed in your store. You may end it at any time by uninstalling the App. We may terminate it with 30 days' notice to the end of a billing cycle, or immediately for good cause, in particular for a serious breach of these Terms. If we terminate without good cause, we refund fees for any prepaid period after the termination date.
Before your data is deleted (see our Privacy Policy), you can copy your generated pages and drafts; on request we will provide an export of your drafts in a common, machine-readable format within 30 days. Provisions that by their nature continue (in particular Sections 4, 7, 9 and 11) survive termination.
9.1 Each party complies with applicable data protection law. For account, authentication, usage-limit and security data (shop domain, session data, name and email of the Shopify staff user, usage counters, and IP addresses in connection with the AI Readiness Check) we act as controller; see our Privacy Policy.
9.2 To the extent we process personal data contained in your store content on your behalf (for example names or contact details on pages, or product reviews), we act as your processor and the following terms apply (Art. 28 GDPR):
We may amend these Terms with effect for the future where this is reasonable for you, in particular to reflect changes in law, case law or regulatory requirements, security requirements or technical developments, or to add features, provided that the balance between performance and consideration is not materially altered to your disadvantage. We will notify you of amendments in the App or by email at least 30 days before they take effect. If you do not object in text form (email to support@finduly.com) or by uninstalling the App before the effective date, the amended Terms apply from that date; we will point this out in the notification. If you object, the agreement continues on the previous Terms, but we may terminate it effective at the end of the current billing cycle.
Changes to prices or to the core scope of a paid plan, and any change that affects the main obligations of the parties, require your express consent, which you give through Shopify's approval flow for the new plan or charge. If you do not approve, the existing plan and price continue until the end of the current billing cycle, after which the agreement ends.
These Terms and the agreement are governed by the laws of the Federal Republic of Germany. If you are a merchant within the meaning of the German Commercial Code, a legal entity under public law or have no general place of jurisdiction in Germany, the place of jurisdiction for all disputes arising out of or in connection with these Terms is Munich, Germany, to the extent permitted by law; we may also bring proceedings at your general place of jurisdiction. Mandatory provisions of the law of your country that cannot be excluded by agreement remain unaffected.
